“信用证”是由一家银行（开征行）依照申请人（客户）的要求和指示或以其自身
的名义,在符合L/C 条款的条件下凭规定的单据向受益人付款的书面命
令.
二,特点：1.是一种银行信用,开征行是第一付款人.2.是一种自给性文件.3.与其
可依据的销售合同以及其他的单据是相互独立的,开征行和参与信用的
其他银行只按信用证规定办事.4.是一种单据性买卖,银行只根据准确
的装运单据付款,既“凭单付款”的原则.
三,L/C的当事人及其权利和责任
1.申请人（APPLICANT）：（1）承担买卖合同下的责任（2）与开征行签定的
业务代理合同.
2.开征行（ISSUING BANK）：（1）根据开征申请人的指示开征（2）第一性的
付款责任（3）终局性付款（4）取得质押性责任
